Position Overview
The Corporate Counsel, Germany is responsible for providing legal advice and corporate governance assistance in support of Vantage’s business in Germany. This is a broad role, supporting a multitude of functions and departments in Vantage’s highly successful and fast-growing German business.
The role will report to the head of Legal for EMEA but an essential element of success will be working closely with and under the guidance of members of the EMEA Legal team responsible for Legal’s work with Site Acquisitions, Development and Operations – all functions of key importance to the German business – supporting their direction and the provision of Legal work to these parts of the business.
As part of the wider Legal team, there will be opportunities to support compliance work, implementing and influencing group-wide policies and process. So too, given the growth and evolving nature of the business, a strong candidate who is successful in the role will have the opportunity to make the role wider and more autonomous as they show initiative to explore where the business may need assistance, integrate themselves with various functions, build relationships and show willing to support and problem solve.
At a technical level, the position involves the management, review and negotiation of a wide range of legal documents, in German and English and will involve the management of external counsel. There will be requirements to support these activities in other jurisdictions where the German language is used, such as Switzerland.
Essential Job Functions
- Support Vantage and be a strategic partner by providing practical, proactive, business-focused, solutions-oriented and sound legal advice that enables Vantage to achieve its business and strategic objectives whilst fully and appropriately managing legal risk.
- Be a key part of the Legal team in its delivery of high quality legal services and risk management, ensuring group-wide requirements are embedded in processes delivering Vantage’s data centre developments and operations.
- Provide comprehensive legal support to and collaborate with Vantage’s German business on legal-related matters, assisting or leading on a wide range of work.
- Instructing and management of outside counsel.
- Through engagement and coordination with stakeholders in Legal (particularly Legal’s EMEA heads of Site Acquisitions, Development and Operations) and various departments, ensuring that different parts of the German business are working in a strategically aligned and consistent manner with each other and the wider group.
- Help influence good governance and maintain contract management. Assisting with the evolving design and implantation of compliance matters across the region.
- The provision of timely legal advice to various parts of Vantage Germany.
- The review, drafting and negotiation of contracts for, by way of example, the procurement of plant and equipment, professional services, maintenance, reactive and security services and facilities management. Drafting of and ensuring good governance using letters of intent, NDAs, powers of attorney, planning documents and documents covering other business matters.
- Assistance with translations between German and English for a wide range of documents.
- Supporting other legal activity, such as due diligence with real estate and acquisitions, the negotiation of construction contracts, improving procurement processes, corporate activity and governance, the development and organisation of systems supporting Legal’s work and compliance with regulatory matters (particularly with respect to data protection and prevention of bribery) in Germany as well as other jurisdictions.
- Support global legal strategy for commercial contracts, risk control, delegations of authority, contract management and governance and maintain organisation of legal documents.
- Attend negotiations with the business and third party vendors, land owners and others.
- Instruct and coordinate with external counsel on a wide range of matters, using them strategically to complement inhouse expertise and bandwidth. Ensuring external advice is fit for purpose and cost-effective.
- Ensuring that advice relating to legal risk of key importance is delivered to senior management for evaluation.
- Coordinate with the Finance team on insurance, tax and other requirements related to multi-faceted areas of activity.
- Support the Legal department in ongoing continuous improvement initiatives and standardisation of working practices across the region. Develop and deliver training to achieve this.
- Helping develop and draft templates for the business, setting the business up to perform effectively whilst controlling risk.
- Minimum of 5 years post qualification experience, at least some with a top law firm.
- You are a fully qualified lawyer and have passed two state law examinations or have another comparable qualification relevant to the position.
- Ideal candidates for this role will have both in-house and law firm experience, strong business acumen and experience in continuous improvement and driving enhancements that benefit an organisation.
- Some inhouse experience preferred but not essential. Data centre experience also preferred but not expected.
- Good knowledge of and experience in commercial transactions and particularly with supply chain and/ or services agreements. Ability to analyse complex business concepts and documents.
- Experience in construction and/ or real estate would be good, as would compliance matters.
- Notable experience (for this level of role) performing legal review and negotiation of commercial contracts, along with work on other related legal documents.
- Experience working in multiple jurisdictions and in a regional or global group preferred.
- Strong communication skills, including verbal and written comprehension skills. Excellent interpersonal and relationship building skills and stakeholder management.
- Strong IT skills; ability to use multiple communication tools and packages. Ability to balance strategic thinking with tactical needs.
- Team player with a demonstrated ability to work in a collaborative manner with a variety of people and experience in influencing change and leadership within an organisation.
- Flexible, agile, motivated, adaptable and self-directed; able to work in a variety of circumstances; e.g. remotely, across multiple time zones, cross functionally, by project, etc.
- This position requires an organised individual with the capacity to handle multiple projects simultaneously, work well under pressure, and to prioritize work effort, all with minimal supervision.
